This privacy policy (“Privacy Policy”)provides You with details about the manner in which Your data is collected, stored & used by US. Throughout this Privacy Policy, the capitalized terms  "Mudrex" "We", "Us" and "Our" refers to:

Mudrex TR Holdings UAB legal entity code 306070243, address Vilnius, Laisvės pr. 60, Republic of Lithuania, for Users who are residents of Lithuania, European Union and supported countries;

RPFAS Technologies Private Limited, having registration number 109384 for Users who are residents of India;

its affiliates, holding and assigns, and the terms  “User”, “You”, “Your”, and “Yourself”  refer to the users of the Online Platforms whose Personal Information is being collected in accordance with the terms of this Privacy Policy.

The underlying technology in the Online Platforms is owned by Mudrex INC., a Limited Liability Company having legal code : 7211681, which has licensed the Online Platform to Mudrex TR Holdings UAB and RPFAS Technologies Private Limited, to operate and provide Services on the Online Platforms and its affiliates

You are advised to read this Privacy Policy carefully. By registering on the Online Platforms (as defined below), using any medium: mobile app, website, web app, mobile site or otherwise, You permit Us to use & disclose Your Personal Information (defined below) in accordance with this Privacy Policy by providing Your consent to this Privacy Policy. If You do not agree to the terms of the Privacy Policy, please do not use or access the Online Platforms.

Mudrex is committed to protect Your Personal Information and would endeavour to protect such information from unauthorized use. This Privacy Policy applies to all applicants/customers including online applying for Services from/through Mudrex or using Our website https://www.mudrex.com or any other web/mobile application of Mudrex (such website and/or web/mobile applications referred as  “Online Platforms”).  You may be required to give us your personal data (including any sensitive personal data) while creating a User Account, or during your continued use of Our Online Platforms.

The terms and conditions of Online Platforms use as mentioned in ‘Policy on Online Platforms Use of Mudrex’ (“Terms of Use”) as amended from time to time is incorporated herein by way of reference.

PERSONAL DATA AND SENSITIVE PERSONAL DATA

“Data Protection Law” shall mean any data protection, data security or privacy law applicable to the Company, including, without limitation, the (Indian) Information Technology Act, 2000, The Digital Personal Data Protection (DPDP) Act, 2023 including the rules and regulations notified pursuant to it and any applicable laws governing Personal Data, Sensitive Personal Data or information from outbound telephone calls, transmission of electronic mail, transmission of facsimile messages and any other communication-related data protection, data security or privacy laws. “Personal Data” shall mean any personally identifiable information relating to an identified or identifiable individual, including data that identifies an individual or that could be used to identify, locate, track, or contact an individual. Personal Data includes both directly identifiable information, such as name, identification number or unique job title, and indirectly identifiable information such as date of birth, unique mobile or wearable device identifier, information that could be used to identify a household, telephone number, key- coded data or online identifiers, such as IP addresses, and includes any data that constitutes “personal data” or similar terms under applicable Data Protection Law. “Sensitive Personal Data or Information” with respect to a person shall mean such personal information which consists of information relating to: (i) biometric information; (ii) financial information such as bank account or credit card or debit card or other payment instrument details; (iii) medical records and history; (iv) password; (v) physical, physiological and mental health condition; and (vi) sexual orientation (vii) any detail relating to the above clauses as provided to us for providing the Services; and (viii) any of the information received under above clauses by us for processing, stored or processed under lawful contract or otherwise.

OUR LEGAL BASIS FOR DATA PROCESSING

Our processing of your Personal Data will be based on one of the following reasons, depending on the purpose of our processing activity:

(i) t is necessary for the legitimate interests of our Company, without unduly affecting your interests or fundamental rights and freedoms, to provide you with communications related to our Services, promotions, offers and events. You have a right to opt-out of receiving marketing messages by clicking on the unsubscribe link in the bottom of our marketing emails;

(ii) It is necessary for taking steps to enter into or executing an agreement with you for the Services you request, or for carrying out our obligations under such an agreement;

(iii) It is essential for us to meet our legal or regulatory responsibilities both within and outside of the European Union; or

(iv) It is processed with your explicit and free consent which we obtain from you from time to time.

We ensure that your Personal Data is processed lawfully, fairly and in a transparent manner and is collected for specified, explicit and legitimate purposes shared with you. Any information you provide to us is voluntary. You are free to choose whether to provide us with the types of Personal Data requested, but we may not be able to serve you as effectively or offer you all or any of our Services when you do choose not to share certain information with us.

SECTION 2 – TYPE OF INFORMATION COLLECTED

When You use the Online Platforms, We collect, store and process Your Personal Information which is provided by You from time to time in accordance with the provisions of the General Data Protection Regulation (GDPR), Data Protection Act and Digital Personal Data Protection Act, 2023. This allows Us to provide services and features that most likely meet Your needs, and to customize the Online Platforms to meet Your requirements and make Your experience safer and easier. We collect Personal Information from You that We consider necessary for achieving this purpose.
Once You create an account (register) on the Online Platforms and give Us Your Personal Information, You are not anonymous to Us. Wherever possible, We indicate which fields are required and which fields are optional. If You are unable to provide the information We need, We may not be able to provide You with the product or service You have requested.

INFORMATION THAT WE COLLECT FROM YOU WOULD INCLUDE:

In order to determine Your eligibility and enable the products/Services offered on the Online Platforms for You, We collect and process certain categories of Personal Information belonging to You, including the following

Individual customers:

  • Identification Details  – Name, which are used for the purposes of registering your valid profile with the Online Platforms.
  • National Identifiers 7nbsp; – Any government issued identity card details, is used for the purposes of mapping your identity with the profile so created and registered with, by you.
  • Correspondence Details  – E-mail Address, Phone Number, Postal Address, which are used for the purposes of communicating with you, resolving your queries and provisioning of other support services. In case you participate in our surveys, you may also provide us with additional information out of your own accord.
  • Financial Data  – Bank Account Details, Tax Identification Details, Digital Assets information including but not limited to any wallet address or details, which are used for the purposes of enabling and effecting transactions on the Online Platforms.
  • Location Data  – we may seek your location data for providing certain Services or in order to enable you to access certain features of the Online Platforms or in the event we suspect any fraudulent transactions.
  • Employment or Business Information  – office location, job title, and/or description of Business, role, etc. If you are not a natural person, this would extend to your constitutional documents, shareholding and beneficial holding details, company master data, and any other substantive proof you may submit to us as part of our KYC and verification processes.
  • Additional Personal Information or documentation at the discretion of our Compliance Team.
  • Any other information which you may provide to us during customer-support conversations, surveys, or for assistance in case of matters related to law enforcement, investigations.

Corporate Customers:

  • Corporate legal name (including the legal name in local language).
  • Incorporation/registration Information.
  • Full legal name of all beneficial owners, directors, and legal representatives.
  • Address (principal/registered place of business and/or other physical locations).
  • Proof of legal existence.
  • Description of the business.
  • Percentage of ownership for Individual/corporate owners.
  • Contact information of owners, principals, and executive management (as applicable).
  • Proof of identity (e.g., passport, driver's license, or government-issued ID) for significant individual beneficial owner of the institutional customer entity.
  • Personal Information for each entity's significant beneficial owner of the institutional customer entity (see the "Individual Customer" section above for details on what Personal Information we collect for individuals)
  • Source of wealth/Source of Fund.
  • Amount of investment projected to be injected in our products.

We collect the above-mentioned Personal Information and information obtained through use of Cookies for the following purposes of:

(i) to create Your login credentials or establishing Your account on the Online Platforms;

(ii) to provide and improve Mudrex’s Services and features on the Online Platforms that You request;

(iii) to resolve disputes and troubleshoot problems;

(iv) to help promote a safe service on the Online Platforms and protect the security and integrity of the Online Platforms, Mudrex’s Services and the Users;

(v) to inform You about online and offline offers, products, services, and updates;

(vi) to customize Your experience on the Online Platforms or share marketing material with You;

(vii) to detect, prevent and protect Us from any errors, fraud and other criminal or prohibited activity on the Online Platforms;

(viii) to enforce and inform about Our Terms of Use;

(ix) to process and fulfill Your request for Mudrex’s Services or respond to Your comments, and queries on the Online Platforms;

(x) to contact You;

(xii) to communicate important notices or changes in Services provided by Mudrex, use of the Online Platforms and the terms which govern the relationship between You and Us; and

(xiii) for any other purpose after obtaining Your consent at the time of collection.

We may obtain some of Your information including Personal Information from third parties or from publicly available sources. The third parties from who We obtain Your information include Our business partners, independent service providers, and from credit reference agencies and credit bureaus on Your behalf etc. You hereby provide Your unconditional consent for Us to do so subject to the applicable law for the time being in force.

We will not use Your email address/mobile number for unsolicited emails and/or SMS. Any emails and/or SMS sent by Mudrex will only be in connection with the provision of agreed service products and this Privacy Policy. If You are no longer interested in sharing your Personal Information or wish to change/modify the Personal Information, please e-mail your request to help@mudrex.com.

CONSENT TO COMMUNICATION

By accepting this Policy, you expressly consent to receive communications from Mudrex, its affiliates, and partners. These communications may include, but are not limited to, business updates, service-related information, promotional materials, advertisements, and other relevant notifications via email, SMS, phone calls, in-app messages, or any other mode of communication. You acknowledge that such communications are an integral part of your use of our services. If You are no longer interested in sharing your Personal Information or wish to change/modify the Personal Information, please e-mail your request to help@mudrex.com

HOW WE TREAT YOUR INFORMATION

By providing consent under this Policy, you grant us the permission to collect, use, copy, transmit, process, disclose, store and back-up your Personal Data and/or Sensitive Personal Data for purposes of the Services and/or for any other purpose mentioned below. We shall not be responsible for the authenticity of the personal identification information, Personal Data, Sensitive Personal Data or any other information supplied by you to us or any other person acting on our behalf. We use your information:

(i) to create and register your User Account with us, and maintain your records and profile details, and authenticate such information;

(ii) to administer the Platform and the Services;

(iii) to inform you of promotions, offers, surveys, events, products and services, which may be of interest to you and to otherwise correspond with you in relation to the Services;

(iv) to facilitate and provide the services offered through the Online Platforms;

(v) to carry out our obligations arising from any contracts entered into between the Company and you;

(vi) to enhance our Services and to ensure the security of our Online Platforms;

(vii) to personalize content/Services offered to you;

(viii) to conduct internal research on our user demographics, interests, and behaviour to better understand, protect and serve our Users;

(ix) to facilitate transactions related to Digital Assets;

(x) to contact You;

(xii) to provide you, or permit selected third parties to provide you, services;

(xiii) for KYC verification of tax identification details and other identification documents provided by you. We may seek you to validate such information by way of a one-time password (OTP), or by having a third-party service provider to authenticate and validate such information, only with your consent hereunder;

(xiv) for marketing, market research, and User profiling.

(xv) to deal with enquiries and complaints;

(xvi) to perform such other activities that we may be expressly authorised or required to perform under Applicable Laws;

(xvii) to prevent and identify suspicious /other illegal transactions in order to mitigate risks relating to money laundering and other illegal activities, enforce our legal rights, and discharge any other duties and obligations under the applicable laws; and

(xviii) any other purpose for which we may seek your consent

We may transfer your Personal Data if we are acquired by or merged with another company or if our business / assets are sold to another company. In such an event, we will notify you about the transfer. If your Personal Data becomes subject to a different privacy policy, then we (or such transferee entity) would be required to take your prior consent.

SECTION 3 - INFORMATION SHARING AND DISCLOSURE TO THIRD PARTIES

You hereby grant us the consent to disclose and share the information collected from you, with such other third parties, when you have submitted such information to us directly, or where such information is received by us from a third party, based on your consent. We share your information with other third parties who provide us with services, which are essential for us to provide you with our Services.
Mudrex may use the services provided by third parties, i.e. data processors (such as third-party data centers, servers, online traffic and website analysis, direct marketing services, etc.) that may receive access to your personal data. In any such case, We ensure that Your personal data is transmitted only to the extent it is necessary to provide certain services of third party providers.
Moreover, in the light of investigations or other cases provided by law, Your personal data may be submitted to the law enforcement, judicial or pre-trial institutions. Your personal data may also be submitted to payment services providers, attorneys, auditors, other professional consultants, other third parties, related to the provision of Mudrex services and / or having legal basis to obtain such data. The Company will carefully assess the conditions under which such data will be processed and stored after transfer to the above entities.
As outlined above, we may collect Personal Data from customers located in the European Economic Area (“EEA”). To facilitate the services we provide to customers located in the EEA, we request explicit consent for the transfer of Personal Data from the EEA to outside of the area. If you are an individual located in the EEA and you decline to consent to such transfer, you will no longer be able to use OKX and our services. You will have the ability to withdraw your digital assets; however, all other functionalities will be disabled.
By agreeing to this Policy, you provide your consent for the above disclosures.

CROSS BORDER TRANSFERS

Subject to applicable laws, to facilitate our operations, your Personal Data may be transferred to and stored in locations outside of India (“Alternate Country“) by us or our Affiliates/partners located in foreign jurisdictions. We will do this only when the transfer is lawful, and only when the same is required for us to meet our contractual and statutory obligations including in order to provide Services to you. For completeness, the Personal Data which may be transferred outside is such information which may be sent to foreign jurisdictions as per the Applicable Laws. You hereby confirm that you have noted the aforementioned provisions and accordingly consent to the same.
When we transfer your Personal Data from India to the Alternate Country, we will comply with our legal and regulatory obligations in relation to your Personal Data, including having a lawful basis for transferring Personal Data and putting appropriate safeguards in place to ensure an adequate level of protection for the Personal Data. We will also ensure that the recipient in Alternate Country is obliged to protect your Personal Data at a standard of protection comparable to the protection under Applicable Laws.

SECTION 4 - DATA RETENTION

We shall be entitled to retain Your Personal Information and other information for such duration as may be required for the purposes specified hereunder or for such other periods as may be required under the applicable laws and the said information will be used by Us only in accordance with this Privacy Policy. Notwithstanding anything contained herein, We will not retain your Personal Information and other information for longer than the periods provided below.

Data retention period: Unless otherwise stipulated by law, you agree that we have the right to retain all the collected personal information for the duration you use our Services and for 5 (five) or 8 (eight) more years after you withdraw from it, and delete it if the data is no longer subject to a legal obligation to which Mudrex is subject to. The retention period may be extended for a period not exceeding 1 (one) year, provided there is a reasoned request from a competent authority.

However, We may retain information related to You if We believe it may be necessary to prevent fraud or future abuse, to enable Us to exercise Our legal rights and/or defend against legal claims or if required by law or for other legitimate purposes. When the retention period for Your Personal Information expires, We will actively destroy/delete such Personal Information and other information from Our systems.

We will comply with the following procedure for destruction and disposal of Your Personal Information and other information:

(i) IT department is responsible for deleting or destroying electronic records. This includes ensuring that the Personal Information and other information is permanently removed and from company system and destroyed.

(ii) No Personal Information and other information that are currently involved in, or have open investigations, audits, or litigation pending shall be destroyed or otherwise discarded.

(iii) When retention requirements have been met, Personal Information and other information shall be immediately destroyed.

(iv) The authorized methods of destruction for non-electronic Personal Information and other information are shredding.

CHILDREN AND PERSONS WITH DISABILITIES

Unless otherwise indicated, you are only allowed to use our Online Platforms and Services if you are over the age of 18 (eighteen) years. We understand the importance of safeguarding the Personal Data of persons with disability who have a law guardian under Applicable Law. If you are suffering from disability and have a lawful guardian under Applicable Law, you may use our Services only with the direct involvement of the lawful guardian. Such lawful guardian must provide us with verifiable guardian consent. In such a scenario, you, i.e., the person agreeing to this Policy and providing consent, confirm that you are the lawful guardian of such person.

SECTION 5 – SECURITY

You are aware of all security risks, including possible third-party interception of any of Your transactions and statements of account on the internet and the content of Your transactions or statements of account becoming known to third parties. You agree and undertake that You shall not hold Mudrex liable therefore in any way. The use and storage of any information, including without limitation, the credit card number, account information, transaction activity, account balances and any other information available or stored on Your Device is at Your own risk and responsibility. You furthermore acknowledge and accept that Mudrex may not encrypt all content or communications from and to Your Online Platforms(s).
You understand and acknowledge that any transmission through the internet is not completely secure and is at your own risk. While we will do our best to protect your Personal Data, we cannot guarantee or give any warranties in this regard, and hereby disclaim all liabilities for any breach of security, malicious attacks, error, omission or commission concerning the data transmitted through the Online Platforms or leading to a breach of data or information of the User. We are not responsible for the circumvention of any privacy settings or security measures contained on the Services or Platforms done by you.
If you suspect any misuse or loss of or unauthorised access to your personal information please let us know immediately. Please raise your concern on the app at help.mudrex.com, in the first instance, and we will investigate the matter and update you as soon as possible on next steps. We also may subject ourselves to regular checks by third party security evaluation specialists and restrict access to your Personal Data by our personnel on a need-to-know basis only. Once we have received your Personal Data, we will use strict procedures and security features to try to prevent, as far as is reasonably possible, unauthorized access to your Personal Data.

SECTION 6 - COOKIES

"Cookies"  are small computer files that are transferred to Your computer's hard drive that contain information such as user ID, user preferences, lists of pages visited and activities conducted while browsing the Online Platforms. Cookies are data collection devices to help analyze Our web flow and measure promotional effectiveness. Most cookies are session cookies, meaning that they are automatically deleted from Your hard drive at the end of a session. You are always free to decline a cookie if Your browser permits. At Your option, expense and responsibility, You may block cookies or delete cookies from Your hard drive. However, by disabling cookies, You may not have access to the entire set of features of the Online Platforms.
Generally, We use Cookies to customize Your experience on our Online Platforms and to store Your token so You do not have to re-enter it each time You visit the Online Platforms. We do not link the information stored in these Cookies directly to any of Your Information You submit while on the Online Platforms.
Please note that third parties (including, for example, advertising networks and providers of external services) may also use cookies, over which we have no control. These cookies are likely to be analytical/performance cookies or targeting cookies.
We may use certain third-party web analytics services on the Online Platforms such as Google Analytics, tools offered by Facebook and/or LinkedIn, etc., which may use technologies such as cookies, web server logs and web beacons to collect information and help us analyze how visitors use the Online Platforms.
These analytic services may use the data collected to contextualize and personalize the marketing materials of their own advertising network. Google Analytics is a web analysis service provided by Google Inc. (“Google“), in accordance with its policies: (http://www.google.com/policies/privacy/partners) You can prevent Google’s collection and processing of data by using the Google Ads Settings page or by downloading and installing its browser plug-in. (https://tools.google.com/dlpage/gaoptout)

SECTION 7 - YOUR CONSENT AND CHANGES TO PRIVACY POLICY

We cannot utilize your Personal Data and/or Sensitive Personal Data (to provide you with access to our Online Platforms and process any application to avail Services from us) without your consent. You may write to help@mudrex.com (mailto:help@mudrex.com) indicating the withdrawal of your consent provided under this Policy. Upon receipt of your withdrawal request, we shall within a reasonable time, cease processing your Personal Data unless we are required or authorised to process such data under Applicable Laws. You may note that withdrawal of your consent does not affect the legality of processing of Personal Data based on any consent received before it was withdrawn. We will also provide you an option to opt-out of marketing communications. By selecting this option, you are indicating that you DO NOT wish for us to use your Personal Data in direct marketing and DO NOT wish to receive direct marketing materials by phone, SMS, mail, email, fax or any other communication channels and DO NOT wish for us to provide your Personal Data to any other persons for their use in advertising and marketing, whether or not such persons are members of the Company except where you have applied for or will apply for any Service that is provided by us jointly with a co-branding partner, such Opt-Out will not apply to such co-branding partner to whom you have consented or shall consent to the provision of your Personal Data separately.

Withdrawal of consent: You may choose to withdraw Your consent (including regarding processing of data by Us or by any third party or regarding data retention) provided hereunder at any point in time. Such withdrawal of the consent must be sent in writing to help@mudrex.com. In case You do not provide Your consent or later withdraw Your consent, We request You not to access the Online Platforms and use the Services provided by Us and also reserve the right to not provide You any such Services on the Online Platforms. In such a scenario, Mudrex may delete Your information (personal or otherwise) or de-identify it so that it is anonymous and not attributable to You.

Correcting inaccuracies in the information:  You may correct or update any information online. In the event of loss of access details, You may retrieve the same or receive new access details by sending an e-mail to: help@mudrex.com.

Right to Erasure:  This is also known as ‘the right to be forgotten’ and, in simple terms, enables You to request the deletion or removal of Your Personal Information where there’s no compelling reason for Us to keep it. Such right of erasure can be exercised by writing to Us at help@mudrex.com. This is not a general right to erasure; there are exceptions, such as when the law requires Us to retain certain personal information about You or where such retention is required for providing Our Services to You, etc.

The right to data portability.  You have the right to transfer Your data processed by Mudrex with Your consent and by automated means to another controller.

The right to restriction of processing.  When there are circumstances specified in certain legal acts (when the processing of personal data is illegal, You contest the accuracy of the data, etc.), You also have the right to request Mudrex to restrict the processing of Your data.

The right to data portability.  You have the right to transfer Your data processed by Mudrex with Your consent and by automated means to another controller.

The right to disagree with the processing of your personal data  if it is processed on a legitimate interest basis, unless there are legitimate reasons for such processing or for the purpose of claiming, enforcing or defending legal requirements.

The above mentioned request shall at least comply with the following requirements:

  • The request shall be in writing, readable and understandable;
  • The request shall include Your full name and (or) other contact information which may help us to identify You properly;
  • The request shall include clear and precise information on which of the rights mentioned in clause 8 You would like to exercise;
  • If You are exercising your rights through a representative, Your request shall include the representative’s first name, last name, contact information for the communication and include a document certifying the representation.

Mudrex will reply to Your written request within a period of note more than 30 (thirty) calendar days since the day of receipt of such request. In exceptional circumstances, which may require additional time, this deadline for Our reply may be extended by a further two (two) months depending on the complexity of the situation. We may refuse to satisfy Your request by giving You a written substantiated notice in case any circumstances set out in the applicable legislation are determined.
In case You deem that Your rights have been violated, You have the right to file a complaint to the State Data Protection Inspectorate (You can find more information on the website www.mudrex.com However, We strongly recommend You to contact us firstly in order to find the right solution to a problem.
You may exercise the above rights by sending us requests for the same on the app customer support option or write to us at help@mudrex.com. While the majority of questions and issues related to access or requests can be handled quickly, complex requests may take more research and time. We reserve the right to charge a reasonable fee for processing any data access request(s).
The Company may retain all or some of your data in accordance with our policies in force or as per Applicable Law.

SECTION 8 - LINKS TO OTHER SITES

This Service may contain links to other sites. If You click on a third-party link, You will be directed to that site. Note that these external sites are not operated by Us. Therefore, We strongly advise You to review the privacy policy of these Online Platforms. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third- party sites or services.

SECTION 9 - DATA PROTECTION

We will report theft or loss of Personal Data in accordance with applicable Data Protection Laws.
Any Personal Data collected or accessed by us shall be limited to that which is necessary to perform our obligations in relation to the Services offered on by us or to fulfil any legal requirements or is otherwise consented to by you. We shall not share any Personal Data that is collected or possessed by us with any third-party for any reason except as expressly stated in this Policy.
You agree that other than as stated in this Policy, we shall have the right to collect and/or use or analyse the Personal Data on an anonymised basis. We advise you not to include Sensitive Personal Data in any emails you may send to us. Please do not send credit/debit card numbers or any other Sensitive Personal Data to us via email.
Notwithstanding anything contained in this Policy, we are not responsible for any loss, damage or misuse of your information, if such loss, damage or misuse is attributable to a Force Majeure Event (as defined in the Terms).

SECTION 10 - CHANGES TO THIS POLICY

We reserve the right to modify this Privacy Policy at any time, so please review it frequently required by Applicable Law or due to business reasons and provide you with notice of the same. Changes and clarifications will take effect immediately upon their posting on the Online Platforms. Continued use of the Online Platforms constitutes agreement of the User to the Terms and this Policy and any amendments thereto.

SECTION 11 - SEVERABILITY

If any term or provision of this Policy is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remainder of the terms and provisions of this Policy shall remain unaffected, and in full force and effect.

SECTION 12 - DATA PROTECTION OFFICER FOR ANY GRIEVANCES
